These Terms of Service ("Terms") govern your access to and use of BizWorthly.com (the "Service"), operated by Idillo Inc. ("BizWorthly," "we," "us," or "our"). By using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

BizWorthly is an AI-supported analysis tool for business buyers. Subscribers paste or upload a business-for-sale listing (text or screenshot) and the Service returns an automated breakdown of that listing, including categorised flags, suggested due-diligence questions, draft seller call scripts, and a draft Letter of Intent template. The Service also stores past analyses and provides a deal tracker for the subscriber's pipeline. The Service is informational only; it does not broker, list, or transact business sales and is not connected to or endorsed by any third-party listing marketplace.

2. Not Professional Advice

BizWorthly does not provide legal, financial, accounting, tax, or investment advice. Analyses are generated by automated language-model systems and may contain errors, omissions, or hallucinations. You should consult qualified professionals before making any business-acquisition decision. Idillo Inc. is not responsible for any decision you make based on a BizWorthly analysis, generated LOI, suggested question, or call script.

3. Eligibility

You must be at least 18 years old to use the Service. By using the Service, you confirm that you meet this requirement and that all information you provide is accurate.

4. Accounts and Access

You are responsible for maintaining the security of your account. Do not share your magic link or account access with others. You are responsible for all activity that occurs under your account. Notify us immediately at support@bizworthly.com if you suspect unauthorized access.

5. Subscriptions and Billing

• Paid trial: New accounts pay a one-time $1.00 USD trial fee via Stripe at signup, which entitles them to 7 days of full access to the AI Listing Analyzer. A valid payment method is required at signup; the trial fee is non-refundable.
• Standard pricing: After the 7-day trial, the Service is billed at $47.00 USD/month on a recurring monthly subscription, charged automatically to the payment method on file. The first $47.00 charge occurs on the eighth day after Checkout completion.
• Cancellation: You may cancel your subscription at any time from your dashboard or by emailing support@bizworthly.com. Cancellations made before the end of the 7-day trial period prevent the recurring $47 charge; cancellations after billing apply to the next billing cycle and do not retroactively refund the most recent monthly charge.
• Pricing changes: We may change our published pricing for new subscriptions at any time. Existing subscribers will keep their current rate unless and until they cancel and re-subscribe, in which case the then-current published rate applies.
• Cancellation: You may cancel your subscription at any time from your account settings or by emailing support. Cancellation takes effect at the end of your current billing period. No refunds are issued for partial billing periods unless otherwise required by law.
• Failed payments: If payment fails, access to the Service may be suspended until payment is resolved.

6. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any applicable law
• Attempt to reverse-engineer, scrape, or extract data from the Service in bulk
• Use the Service to generate content intended to deceive, defraud, or harm others
• Resell, sublicense, or redistribute the Service or its output without our written permission
• Attempt to circumvent any access controls, rate limits, or security measures

7. Intellectual Property

The Service, its design, and underlying technology are owned by Idillo Inc. and protected by intellectual property laws. You retain ownership of any content you submit to the Service. By submitting content, you grant us a limited license to process it for the purpose of providing the Service.

8. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free, or that any listing forwarded to you will be accurate, complete, current, or suitable for your purposes. Listings are sourced from third-party marketplaces and may contain errors, omissions, or out-of-date information; we do not independently verify them. References to third-party marketplaces by name on this site are nominative and identify the public sources we monitor; they do not imply any partnership, endorsement, sponsorship, or affiliation with those marketplaces.

9. Limitation of Liability

To the fullest extent permitted by law, Idillo Inc. shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service, including but not limited to losses resulting from business acquisition decisions made in reliance on Service output. Our total liability to you for any claim arising from these Terms or the Service shall not exceed the amount you paid us in the 90 days preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless Idillo Inc. and its officers, employees, and agents from any claims, losses, or expenses (including reasonable legal fees) arising from your use of the Service or violation of these Terms.

11. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms, non-payment, or any other reason at our discretion. Upon termination, your right to use the Service ends immediately.

12. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the effective date of the updated Terms constitutes your acceptance.

13. Governing Law

These Terms are governed by the laws of the jurisdiction in which Idillo Inc. is incorporated, without regard to conflict of law principles.
